Welcome, and thank you for your interest in RentyPal B.V. (“RentyPal,” “we,” or “us”) and our website at www.RentyPal.com, along with our related websites, hosted applications, mobile or other downloadable applications, and other services provided by us (collectively, the “Service”). These Terms of Service are a legally binding contract between you and RentyPal regarding your use of the Service.

PLEASE READ THE FOLLOWING TERMS CAREFULLY:

BY CLICKING “I ACCEPT,” OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING RENTYPAL’S PRIVACY POLICY (TOGETHER, THESE “TERMS”). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE. YOUR USE OF THE SERVICE, AND RentyPal’S PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY RentyPal AND BY YOU TO BE BOUND BY THESE TERMS.

TEXTS & CALLS NOTICE.YOU AGREE TO RECEIVE TEXTS/CALLS FROM OR ON BEHALF OF RentyPal AT THE PHONE NUMBER YOU PROVIDE TO US. THESE TEXTS/CALLS WILL INCLUDE MARKETING OR OPERATIONAL INFORMATION. YOU UNDERSTAND AND AGREE THAT THESE TEXTS/CALLS MAY BE CONSIDERED TELEMARKETING UNDER APPLICABLE LAW, THEY MAY BE SENT USING AN AUTOMATIC TELEPHONE DIALING SYSTEM OR OTHER AUTOMATED TECHNOLOGY, AND YOUR CONSENT IS NOT A CONDITION OF ANY PURCHASE.

ARBITRATION NOTICE.Except for certain kinds of disputes described in Section 20 (Dispute Resolution and Arbitration), you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND RentyPal ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

ACKNOWLEDGEMENT OF RISK. YOU ACKNOWLEDGE AND AGREE THAT THERE ARE RISKS ASSOCIATED WITH USING USER ITEMS BORROWED FROM OTHER USERS, USING AN INTERNET-BASED MARKETPLACE, AND INTERACTING WITH OTHER USERS IN PERSON AS OUTLINED IN SECTIONS 18 AND 19.

Definitions

Platform – The mobile apps, website ( rentypal.com ) and related services operated by RentyPal LLC.
Owner – A user who lists an item for rent.
Renter – A user who books or rents an item.
Item – Any movable good offered for rental on the Platform.
Rental Agreement – The legally-binding contract between Owner and Renter that arises upon acceptance of a booking request and incorporates the Listing details and these Terms.
Service Fees – Platform fees payable by Owners and Renters per Art. 8. Other capitalised terms are defined where first used. and the

Scope of Services & Role of RentyPal

2.1 RentyPal facilitates peer-to-peer rentals by providing discovery, messaging, payment tooling and limited support services.
2.2 RentyPal is not a party to the Rental Agreement, does not own or possess Items, and does not guarantee the existence, quality, safety or legality of any Item.
2.3 Owners and Renters act solely on their own behalf and not as employees, agents or partners of RentyPal.

Eligibility & Account Creation
  • Must be ≥ 18 years old and able to form a binding contract.
  • Provide accurate, up-to-date information; keep credentials confidential.
  • Corporate users may register an Organisation Account; the registering individual represents that they have authority to bind the entity.
Verification, Security & Identity Checks
RentyPal may, at any time:
  • Request a government-issued photo ID, selfie match or other personal identifiable information.
  • Conduct credit, fraud-risk or criminal-records checks via third-party providers. Failure to pass or cooperate may result in suspension or cancellation.
User Obligations – General Conduct
Users shall: (a) comply with applicable laws; (b) treat others respectfully; (c) not tamper with Platform security; (d) not solicit transactions off-platform to avoid fees; (e) not post misleading info; (f) not upload malware or scrape data.
Listing Rules (Owners)
  • Ownership & Condition. Owner must own the Item or have full right to rent it, and the Item must be safe, functional and cleaned per manufacturer guidelines.
  • Prohibited Items. Firearms, ammunition, explosives, hazardous chemicals, controlled substances, human or animal remains, recalled goods, counterfeit or trademark-infringing items, and any Item whose transfer is restricted by law.
  • Listing Content. Title, description, photos, pricing, availability calendar, pickup/return window and any special conditions (e.g., licence required).
  • Insurance Considerations. Owner is responsible for any required personal or commercial insurance, unless enrolled in the Owner Protection Program (Art. 13).
  • Compliance with Local Rules. E.g., municipal license or permit for certain tools.
Booking, Acceptance & Contract Formation
  • Booking Request. Renter selects dates and submits a request; a pre-authorisation for the total rental price + estimated fees may be placed on the Renter’s card.
  • Acceptance Window. Owner must accept or decline within 48 hours (configurable); otherwise the request auto-expires.
  • Formation. Upon acceptance, a Rental Agreement forms incorporating:
    • The Listing details
    • Renter’s requested dates
    • These Terms
    • Any in-app chat commitments expressly confirmed by both parties.
  • Messaging & Logistics. Parties coordinate exact time and location in in-app chat. Verbal side agreements outside the Platform are excluded and unenforceable by RentyPal.

  • Payment Processor. Transactions are processed by [Stripe, PayPal, etc.]; you agree to their terms.
  • Taxes. Owners are solely responsible for reporting and remitting applicable federal, state and local taxes. RentyPal may issue IRS Form 1099-K as required.
  • Withholdings & Offsets. RentyPal may withhold payouts to cover anticipated claims, chargebacks or regulatory obligations.
 Security Deposits & Pre-Authorisations
  • A refundable deposit may be required per Listing.
  • RentyPal may place a pre-authorisation on the Renter’s payment method up to 125 % of the total booking estimate
  • After timely return in satisfactory condition, holds are released; otherwise see Art. 12.
Cancellations, No-Shows, Early Returns & Extensions
All cancellations and no-shows are governed by the RentyPal Cancellation & No-Show Policy, which is incorporated into these Terms by reference. A concise outline is provided below; if any discrepancy exists, the Cancellation & No-Show Policy controls.
  • Renter-initiated cancellations (summary)
    • 24 hours before pickup — full refund of Rental Price; Booking Fee non-refundable
    • >24 hours and ≥ 3 hours — 50 % refund of Rental Price; Booking Fee non-refundable
    • <3 hours or no-show — no refund of Rental Price; Booking Fee non-refundable
    • Refer to the RentyPal Cancellation & No-Show Policy for any Owner compensation structure resulting from mentioned cancellations.
  • Owner rejection before acceptance

    Owners may decline any booking request without penalty. In that case the Renter’s payment authorisation is voided and the Rental Price (and any Booking Fee, if captured) is released immediately; depending on the card issuer, funds can take 3–5 business days to re-appear in the Renter’s account.

  • Owner-initiated cancellations after acceptance
    • First occurrence per calendar quarter — no penalty; Renter receives full refund. Owner receives a warning for potential penalty for such repeated cancellations in the future.
    • Additional occurrences in the same quarter — Owner Cancellation Penalty of 15 % of Rental Price (minimum US $5, maximum US $50) deducted from the next payout.
    • Repeated cancellations (> 3 of accepted bookings in the last six months) may result in listing demotion or suspension.
  • Owner-initiated cancellations before acceptance

  • Early returns

    No partial refunds unless the Owner agrees in-app.

  • Extensions

    The Renter must request an extension through the Platform; the Owner’s acceptance and successful additional payment are required before the Item may be kept beyond the original return time.

Item Handover, Return & Condition Requirements
  • Pickup and return occur at the Listing location or other mutually agreed spot documented in-app.
  • Renter must inspect the Item at pickup and report pre-existing damage in-app with photos.
  • Late returns accrue an hourly fee of 10 % of daily rate/hour capped at 125 % of daily rate, plus any downstream booking losses.
Damage, Loss, Theft & Non-Return Procedure
  • Owner Reporting Window. Owner must submit a claim with timestamped photos within 24 hours of scheduled return or discovery of loss/theft.
  • Renter Liability. Renter authorises RentyPal to charge repair or replacement cost (fair-market value), lost rental income, Service Fees and administrative costs.
  • Disputed Claims. Parties must first attempt amicable resolution via in-app chat; unresolved claims escalate to RentyPal Support, which may request additional evidence.
  • Police Report. Theft claims require a filed police report within 48 hours.
  • Theft during use of Item by Renter. The Renter is responsible for filing the theft police report and also required to report to both the item Owner and RentyPal. Failure to do so, might result in Renter forfeiting any deposits held by RentyPal.
Owner Protection Program / Micro-Policy (Optional)
  • Coverage Limit:up to US $2,000 per rental for eligible physical damage or loss after Renter recovery efforts.
  • Exclusions:normal wear, cosmetic scratches, consumables, cash, jewellery, vehicles, real property, Items requiring separate statutory insurance (e.g., drones in some states).
  • Deductible:US $50 per claim.
  • Subrogation:Owner assigns recovery rights to RentyPal.
  • This program is not insurance; participation is at RentyPal’s sole discretion and may be modified or discontinued on 30-days’ notice.
Reviews, Ratings & Feedback
  • After each completed rental, both parties may leave 1-to-5-star ratings and textual reviews.
  • Reviews must be truthful, non-defamatory and comply with Art. 15.
  • RentyPal may remove reviews that violate these Terms or applicable law.
User-Generated Content, IP Licence & DMCA Policy
  • Licence. By uploading content you grant RentyPal an unrestricted, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, publish and translate such content for Platform operation, promotion and improvement.
  • Copyright Infringement. Notices under 17 U.S.C. § 512(c)(3) should be sent to:

  • Repeat infringers’ accounts may be terminated.
Prohibited Activities & Enforcement Measures
  • Offering prohibited Items (see Art. 6.2).
  • Circumventing or manipulating fees, deposits or ratings.
  • Using bots or scraping tools.
  • Harassment, hate speech or discrimination.
  • RentyPal may issue warnings, hide Listings, withhold payouts, suspend or terminate accounts and pursue legal remedies.
Suspension, Termination & Survival
  • RentyPal may suspend or terminate access immediately for breach, suspected fraud, non-payment, legal/regulatory request or risk to safety.
  • Users may close their account any time via settings; outstanding obligations survive.
  • Articles 8–13, 15-20, 22-24 survive termination.
Disclaimers & Risk Acknowledgements
  • AS IS / AS AVAILABLE.Platform services are provided without warranties of any kind.
  • Risk Assumption.Users accept inherent risks of meeting strangers and using third-party goods; RentyPal does not inspect or certify Items.
  • No Guarantee of Continuous Service.RentyPal Platform may be interrupted for maintenance, upgrades or unforeseen outages.
Indemnification
You agree to indemnify and hold harmless RentyPal, its officers, directors, employees and agents from any claim or expense (incl. attorneys’ fees) arising from: (a) your breach of these Terms; (b) your improper use of the Platform; or (c) your violation of law or third-party rights.
Limitation of Liability
To the fullest extent permitted by law, RentyPal’s aggregate liability arising out of or in connection with these Terms or your use of the Platform shall not exceed the greater of (i) total Service Fees paid by you to RentyPal in the 12 months prior to the event giving rise to liability or (ii) US $100. RentyPal shall not be liable for indirect, incidental, special, punitive or consequential damages.
Modifications to these Terms
We may amend these Terms by posting a revised version with an updated “Effective Date.” Material changes will be notified via email or in-app at least 30 days in advance. Continued use constitutes acceptance.
Governing Law & Venue
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, except that nothing in this clause limits any mandatory consumer protections under the law of the state where the user resides.
Subject to the Arbitration Agreement (Art. 23):
  • Any claim that must be filed in court shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming; and
  • The parties consent to personal jurisdiction there and waive any objection that the forum is inconvenient.
The arbitration seat under Art. 23 is Sheridan County, Wyoming, but hearings may be conducted virtually unless all parties agree otherwise.
Dispute Resolution & Arbitration Agreement

Assignment, Severability & Miscellaneous
  • RentyPal may assign these Terms without restriction; users require prior written consent to assign.
  • If any provision is held invalid, the remainder remains in full force.
  • Headings are for convenience only and do not affect interpretation.
  • No waiver of any term is a further or continuing waiver of that term.
